Studio 2Shey (2Shey Creative) Terms and Conditions
The following document outlines the standard terms and conditions for Studio 2Shey (hereafter referred to as "2Shey"). It is essential that you, the Client, take time to thoroughly read and understand these terms before engaging in any project with 2Shey. Please note that 2Shey reserves the right to modify these terms and conditions at any time without prior notice. If you do not fully understand any section of this document, please reach out for clarification.
Payment Options
You have several payment options when engaging with Studio 2Shey. Please choose the one that best suits your needs:
Upfront Direct Deposit (EFT): No additional fees.
Credit Card (Online Invoice Payment in Full): Additional fees apply.
Credit Card (Direct Debit Periodic Payments): Additional fees apply.
Payment Terms
a) One-Off Design Projects: A 50% deposit of the quoted amount is required to begin any project. The remaining balance is due prior to delivery. Once work has commenced, the deposit is non-refundable. If you decide to change your mind after work has begun, the initial deposit will be forfeited, along with a prorated amount based on the time spent.
If the project exceeds four weeks in duration, progress payments of 50% of the balance are due monthly until the project is completed. Any outstanding balance is payable in full upon final delivery.
b) 2Shey Design Packages: A deposit, as specified by the chosen package, is required to commence work. The remaining balance will be paid over the agreed payment plan (1 month, 2 months, or 3 months). Payments will be debited directly from your account or credit card as per the schedule. Once work has commenced, the deposit is non-refundable, and any changes of mind will result in the forfeiture of the deposit, along with a prorated amount for time spent.
If the project duration exceeds four weeks, progress payments of 50% of the balance will be due monthly. The remaining balance is payable within 7 days of the final invoice.
Printing
Printing costs are not included in the design quotes and will be charged separately based on the printer's fees. You will be provided with a quote for printing costs before submitting the work to the printer. All printing invoices must be settled in full before files are released for printing.
Design Samples
You agree that 2Shey may showcase any work created during the course of the project as part of its portfolio. 2Shey respects the confidentiality of each project and will not display any work before the product or site has been publicly launched.
Force Majeure
2Shey is not liable for any delay or failure in delivering products or services caused by circumstances beyond its reasonable control, such as war, natural disasters, strikes, government restrictions, transport delays, power outages, or acts of terrorism.
Fees for Service
The fees for services will be based on the estimates provided via email. If the scope of work exceeds the outlined items, you agree to pay the additional fees for the extra work. 2Shey will notify you if the project scope expands beyond the original estimate.
Excess Work
Excess work refers to any additions to the original scope outlined in the quote, invoice, or package, or any changes to completed work after client approval. Should additional design work be requested during the project, you will be notified of the changes in scope and a fee of $150 per hour will apply. Progress payments will be required before any excess work is undertaken.
Liability & Litigation
All work provided by 2Shey is guaranteed to be free of liens and encumbrances, ensuring that it can be lawfully used by the Client without infringing on any third-party intellectual property rights.
2Shey indemnifies the Client against claims for injury, death, or property damage arising from the services provided, except where the claim is due to the Client’s negligence. However, 2Shey will not be liable for indirect or consequential losses, including loss of profits or contracts. Any liability is limited to the direct costs associated with the project.
Approval of Final Artwork
While 2Shey takes great care to avoid errors, the Client is responsible for proofreading and approving all final artwork before production. Email approval from the Client will be considered conclusive. No refunds or reprints will be issued after final approval is given for print or production.
Print Returns and Refunds
2Shey is not responsible for errors in the final product once it has been approved by the Client for print or public release. The Client is responsible for notifying 2Shey of any errors before final files are generated. If reprints are required due to content errors, the Client must notify 2Shey within three days of product acceptance and return the product within ten days, at their own expense. Reprint costs must be prepaid.
Print – Colour Variations
Due to the nature of CMYK printing, there may be slight colour variations between what is seen on screen and the final printed product. These variations will not be grounds for a reprint at 2Shey’s expense.
Copyright
2Shey retains ownership of all design concepts and materials created. Upon final payment, full ownership rights to the final design concepts are transferred to the Client. Unused concepts remain the property of 2Shey.
2Shey may still use paid-for concepts in its promotional materials and portfolio unless explicitly requested otherwise by the Client.
Until full payment is received, 2Shey retains ownership of all artwork and website architecture. Certain elements, including RAW files, fonts, patterns, and stock images, remain the property of 2Shey.
Goodwill
This agreement assumes goodwill from both 2Shey and the Client regarding reasonable expectations for timeframes and the effective use of resources to achieve the best outcomes.
Resending or Uploading Files
If the Client loses or accidentally deletes delivered files, 2Shey can re-upload them to Dropbox for a fee of $50 per request, provided the request is made within two years of project completion.
Website Design Credit
The Client agrees to allow 2Shey to place a small credit on printed material, exhibition displays, advertisements, and/or the Client’s website. This credit may be in the form of a small logo or text placed at the bottom of the page. Additionally, the Client agrees to allow 2Shey to display the website and other designs, with a link to the Client’s site, on 2Shey’s website for promotional purposes.
International Work
2Shey provides services to clients globally and uses contemporary communication methods such as Skype, Dropbox, Google Drive, email, and traditional telephone communication for international projects.
Termination Policy
If the Client cancels a project after it has commenced, the deposit will be forfeited to cover time spent, resources allocated, and administrative costs. If the project is more than 50% completed, a prorated payment will be required based on time spent, at an hourly rate of $150.
"On Track" Policy
To keep the project on schedule, 2Shey requires prompt feedback from the Client within 14 days. If there is no response, a second reminder will be sent, followed by a third reminder seven days later. If there is still no response, the project will be considered closed, and any deposits or part payments will be forfeited.
